Draft for legal review. Items in [brackets] must be filled in, and a lawyer should review these terms before TAG launches publicly.
01Agreement
These Terms of Use are an agreement between you and [TAG entity name, LLC] ("TAG," "we," "us," or "our"). They govern your use of tagdotfun.com, the @tagdotfun bot on X, your TAG vault, and every related feature (together, the "Service").
By tagging the bot with a launch command, paying a launch quote, logging in with X, or otherwise using the Service, you accept these Terms and the Privacy Policy. If you don't agree, don't use the Service.
02What TAG does
TAG lets you launch a token by posting a command that tags @tagdotfun on X and paying the quoted amount with X Money. TAG then creates the token on pons, a third-party launchpad on Robinhood Chain, makes any first buy you asked for, and delivers the tokens to a wallet linked to your X account (your "vault").
TAG is not affiliated with, endorsed by, or operated by X Corp., X Money, Pons Labs (pons), Robinhood, or any blockchain network. Questions about these Terms can be sent to [contact@tagdotfun.com].
03Eligibility
You must be at least 18 (or the age of majority where you live, if higher) and able to enter into these Terms. You must use the Service only where doing so is lawful, and you must comply with all laws that apply to you, including securities, commodities, anti-money-laundering and sanctions laws.
The Service is not available to anyone who lives in, is located in, or is organized in a restricted jurisdiction, including Cuba, Iran, North Korea, Syria, Russia, Belarus, the Crimea, Donetsk and Luhansk regions of Ukraine, Myanmar, Venezuela, [the United Kingdom, the member states of the European Union,] and any other jurisdiction subject to comprehensive sanctions, or to anyone on a government sanctions list. [Confirm this list with counsel.]
04Your X account
Your X account is how you use TAG. Launch commands are accepted only from the account that posts them, and your vault opens only when you log in with that same X account. Anyone who controls your X account can control your vault.
- Secure your X account with a strong password and two-factor authentication.
- TAG will never ask for your X password, recovery codes, or a wallet recovery phrase.
- You are responsible for activity carried out through your X account, including activity caused by a compromised account or device.
05Launch quotes and X Money payments
When you tag @tagdotfun with a valid command, the bot replies with a quote: your requested first buy plus a launch fee, and a one-time code. A quote is valid for 15 minutes. Send the exact amount from your own X Money account to @tagdotfun to accept it.
- We use your payment to pay the launch fee, network costs and your first buy. Tokens are bought at the market price when the launch executes, which can differ from any estimate shown.
- If a launch fails after we receive your payment, or your payment arrives after the quote expires, we refund the amount you sent to the X Money account it came from. Refunds may take time to process.
- Payments that don't match an open quote, come from a different X account, or break these Terms may be refunded, held for review, or refused.
- X Money is a service of X Corp. and its partners. Your use of X Money is governed by their terms, and we are not responsible for X Money availability, limits, holds or errors.
06Your vault
The first time you launch, a wallet on Robinhood Chain is created for your X account through our wallet provider ([Privy]). It is linked to your X account's permanent ID, so it stays yours if you change your @. Tokens from your launches and your share of creator fees are delivered to it.
Transactions from your vault (selling, claiming fees, withdrawing) are approved by you after logging in with X. TAG does not have the ability to move assets out of your vault on its own. TAG may add security measures, such as delays on large withdrawals, to protect you if your X account is compromised.
You can withdraw your assets to any Robinhood Chain wallet you control at any time, subject to network fees and these Terms.
07Token launches and content
You are solely responsible for the tokens you launch and for their names, tickers, images, descriptions and any related posts. You confirm that you have the rights to that content and that it is lawful and not misleading, including that it doesn't falsely suggest a connection to any person, brand or company.
Launching a token through TAG does not mean we reviewed, endorsed, or approved it or its creator. We may refuse a launch command, and we may hide or restrict content on surfaces we control, at our discretion. We cannot remove anything recorded on a public blockchain or on third-party platforms.
Coins may be featured or ranked on tagdotfun.com using neutral criteria such as market cap, volume or recency. Featuring is not an endorsement or recommendation.
08Fees and creator fees
Each launch costs the flat fee shown in your quote. Launchpads pay creator fees on trades of your token. For tokens launched through TAG, creator fees are split by a smart contract deployed with your token: 80% to your vault and 20% to TAG. Fee rates and splits set by third-party launchpads may change, and we may change our fees for future launches with notice on tagdotfun.com.
Network fees, price impact and third-party charges may apply. You are solely responsible for any taxes arising from your use of the Service.
09Risk disclosures
Memecoins are extremely speculative and most lose all of their value. Only use money you can afford to lose. By using the Service you accept these risks:
- You may lose some or all of the value you put into a launch.
- Smart contracts, launchpads, wallets, and blockchain networks may fail, be exploited, or behave unexpectedly.
- Market data shown on tagdotfun.com may be delayed, incomplete, or wrong.
- Anyone can create tokens with similar names or tickers. Always check the contract address.
- Tokens may have legal, tax, or regulatory consequences where you live.
Nothing on the Service is financial, investment, legal, or tax advice, or an offer to buy or sell any token. We make no statement about whether any token is a security in any jurisdiction.
10Acceptable use
- Don't break the law, violate sanctions, or infringe anyone's rights, including their name, likeness, trademarks or copyrights.
- Don't launch tokens that impersonate people or brands, or that are fraudulent, deceptive, abusive or malicious.
- Don't use the Service for market manipulation, money laundering, fraud, or to hide the proceeds of crime.
- Don't spam the bot, abuse X features, or try to get around quotes, limits, or security measures.
- Don't use a token launched through TAG to raise capital or to represent equity, debt, profit-sharing or any investment interest in a business.
11Limits and conflicts
We may limit launch amounts, frequency, or other activity at any time for risk, security, legal or operational reasons. TAG and its team may hold, trade, or have an interest in tokens available through the Service. Nothing in these Terms creates a fiduciary or advisory relationship.
12Third-party services
The Service depends on independent services, including X, X Money, our wallet provider, pons, Robinhood Chain and other networks, RPC providers, and market data sources. We don't control them and aren't responsible for their availability, security, or conduct. Your use of them is governed by their own terms.
13Intellectual property
The TAG name, site, bot, design and software are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive right to use the Service for lawful purposes. You keep any rights you have in content you submit and give us a worldwide, royalty-free license to host, display and moderate it as needed to run the Service.
To report content that infringes your copyright, email [dmca@tagdotfun.com] with the work, the infringing material and its location, your contact details, and the statements required by law.
14Service availability
We may change, suspend, or discontinue any part of the Service at any time. We don't guarantee that the bot will respond, that a launch will complete within a specific time, or that data will be preserved. Assets in your vault remain on the blockchain and can be moved with your X login.
15No warranties
To the fullest extent allowed by law, the Service is provided "as is" and "as available," without warranties of any kind, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted operation.
16Limitation of liability
To the fullest extent allowed by law, TAG and its affiliates, officers, employees and service providers are not liable for indirect, incidental, special, consequential or punitive damages, lost profits, loss of assets, failed or delayed launches, compromised X accounts, network events, or price movements.
Our total liability for any claim relating to the Service is limited to the greater of the fees you paid to TAG in the 12 months before the claim or one hundred U.S. dollars. Some places don't allow these limits, so they apply only as far as the law allows.
17Indemnification
You agree to defend and indemnify TAG and its affiliates, officers, employees and service providers against claims, losses and reasonable legal fees arising from your use of the Service, the tokens and content you launch, or your breach of these Terms or the law.
18Termination
We may suspend or end your access to the Service at any time, including where we suspect fraud, manipulation, sanctions risk, abuse, or a breach of these Terms. Assets already in your vault remain yours and can be withdrawn unless the law requires otherwise.
19Governing law and disputes
Before starting a formal claim, contact us at [contact@tagdotfun.com] so we can try to resolve it informally. These Terms are governed by the laws of [the State of Delaware], without regard to conflict-of-law rules.
Any dispute not resolved within 60 days will be settled by final, binding arbitration on an individual basis, administered by [the American Arbitration Association]. You and TAG agree that claims may only be brought individually, not as part of a class or representative action. You may opt out of arbitration by emailing [contact@tagdotfun.com] within 30 days of first accepting these Terms, including your X handle and a clear statement that you are opting out. [Confirm dispute terms with counsel.]
20General terms and changes
If any part of these Terms is unenforceable, the rest still applies. We may update these Terms as the Service changes. The effective date shows the current version, and continued use after an update means you accept it.
